By following these 8 steps you’ll set up your LLC in no time!

1. Choose a business name for your LLC.

2. File a Certificate of Organization with the Nebraska Secretary of State

The Certificate of Organization is a document that officially forms your LLC. It must be signed by a representative of your LLC and filed with the Secretary of State’s office. You can find the form online at the Nebraska Secretary of State website.

3. Appoint a registered agent for your LLC

A registered agent is an individual or business that agrees to receive legal documents on behalf of your LLC. They must have a physical address in Nebraska and be available during normal business hours. You can find a list of registered agents on the Nebraska Secretary of State website.

4. Create an operating agreement for your LLC

An operating agreement is not required by law, but it’s a good idea to have one in place to lay out the ownership structure and decision-making process for your LLC. This document can be as simple or as detailed as you like, but it should at least include the names of the members and their percentage ownership stake in the company.

5. Get an Employer Identification Number (EIN) from the IRS

You’ll need an EIN to open a bank account and file taxes for your LLC. You can apply for one online, by fax, or by mail through the IRS website .

6. Comply with any other business licensing requirements in Nebraska

Depending on what type of business you’re running, you may need to obtain additional licenses and permits from the state or local level. The best place to start is by checking with your city or county clerk’s office.

7. Open a bank account for your LLC

Once you have your EIN, you can open a business bank account in your LLC’s name . This will make it easier to separate your personal and business finances and help you keep track of expenses for tax purposes .

8. File annual reports with the Nebraska Secretary of State

All LLCs in Nebraska are required to file an annual report with the state each year. The report must be filed by April 1st and can be done online through the Nebraska Secretary of State website. There is a $10 filing fee per year.
